Terms of trade
The short version: fixed price, six months of revisions, you own the data, and the map is not a legal survey. The longer version follows.
Draft for review. These terms describe how the work actually runs, but they have not yet been reviewed by a lawyer. They should be, before the site takes a payment.
0. Who these terms are between
These are the terms of trade of Baseline Mapping Limited, NZBN 9429052484322, company number 9295753, GST number 144-420-233, of Palmerston North, New Zealand, referred to below as we or us. They apply to every order you place with us. The terms that apply to your order are the ones published on this page when you place it, and we will not change them for an order already under way.
1. Scope
The deliverables for each package are those listed on the relevant package page at the time of order. Anything not listed is not included. Where you need something extra we will quote it before starting, never after.
2. How the work is produced
All mapping is produced in-office from aerial imagery, LINZ records and information you supply. We do not visit the property and we do not undertake field survey or GPS capture. The accuracy of the finished map therefore depends materially on the imagery available for your area, and on the corrections you provide during the revision period.
Your first draft will be with you within ten working days of payment, and we tell you which week your job is booked for before you pay. The time for corrections after the first draft is separate: see clause 3.
3. Revisions
Every farm package includes revisions within the agreed scope for six months from the date the first draft is delivered. Revisions requested after that period are quoted separately.
A revision means correcting or adding detail within the agreed scope. It does not mean adding land, new analysis, a redesign, or deliverables from a higher package, which are quoted before any work starts.
While a Baseline Forever subscription is current, each subscription year includes three hours of map updates. Changes beyond that allowance, or beyond the agreed map set, are quoted before any work starts. New imagery does not by itself entitle you to a full re-map.
4. Boundaries are not a survey
Farm boundaries are mapped to the fencelines visible in imagery and confirmed with you. They are not a cadastral survey, they carry no legal standing, and they must not be relied on for boundary disputes, subdivision, easements, or the placement of structures near a boundary. Where title boundaries are shown they are sourced from LINZ records and are indicative only. For any legal boundary purpose you must engage a licensed cadastral surveyor.
5. Payment
All prices exclude GST. All standard orders, including the first year of Baseline Forever, are payable in full before work begins. Any alternative payment arrangement must be agreed in writing for your order. Baseline Forever renews annually at $890 until cancelled, with each renewal payable in advance. Any agreed invoice payment dates will be stated on the invoice. If a renewal payment fails, we let you know and your subscription carries on for 30 days while it is sorted out. Nothing is deleted because a payment failed.
If an agreed invoice is not paid by its due date, we may pause work on your order and hold delivery of anything not yet released, after telling you first. We may recover reasonable costs of collection. We do not charge default interest.
6. Cancellation
You may cancel before the first draft is produced and receive a full refund. Once the first draft has been delivered the fee is payable in full, because the work is substantially complete at that point. Baseline Forever may be cancelled at any time with no exit fee; the subscription stops at the end of the period already paid for.
When a Baseline Forever subscription ends, you receive a secure link to a ZIP of your approved delivered files, which stays open for 30 days. The online map, online downloads and updates stop while the subscription is inactive, and reactivating restores them. Hosted files are moved to archive after 24 months without an active subscription; they are not deleted, and we restore archived files on request at no charge within 5 working days.
7. Data ownership
You own the map outputs and the mapped data outright, on every package, from delivery. Cancelling a Baseline Forever subscription does not affect anything already delivered to you. We retain a copy for our own records, and will only use your work as a published example with your written agreement.
8. Third-party data
Maps incorporate data from Land Information New Zealand and other public providers under their respective licences, principally CC BY 4.0, and attribution is carried on the map sheets. We are not responsible for errors originating in third-party source data, though we will correct anything you identify during the revision period.
9. Our intellectual property
You own the map outputs and the mapped data, as clause 7 says. What stays ours is how we make them: our templates, styles, scripts, project setups, checking recipes and internal tooling. Nothing in these terms transfers those to you, and nothing stops you using your own delivered maps and data however you like, including with another provider.
10. Consumer guarantees
Where you acquire our services for the purposes of a business, both of us are in trade, and you agree that the Consumer Guarantees Act 1993 does not apply. That agreement is fair and reasonable between us, and clause 11 is written on the basis of it.
Where you acquire our services as a consumer rather than for a business, the Consumer Guarantees Act applies in full, nothing in these terms limits it, and clause 11 applies only so far as the law allows. We do not attempt to exclude the Fair Trading Act 1986 in any circumstances.
11. Liability
Subject to clause 10, our total liability in connection with any engagement is limited to the fee paid for that engagement. We are not liable for indirect or consequential loss, including decisions made in reliance on areas or boundaries that you have had the opportunity to review and correct.
12. Delays outside our control
Occasionally something genuinely outside our control delays a job: a source data outage at a public provider, a failure of equipment or hosting, illness, or a natural event. We will tell you as soon as we know and give you a revised date. We are not liable for the delay itself, and if it runs long enough to make the work useless to you, either of us may cancel and we will refund the part not yet delivered.
13. Capacity
We accept a limited number of mapping jobs each month. Where we are at capacity we will tell you the next available start date before taking any payment.
14. Privacy
What we collect and who handles it is set out on our privacy page, which forms part of these terms.
15. If something goes wrong between us
Tell us first. Most things are a misunderstanding about scope and are sorted out in a phone call. If that does not resolve it, both of us agree to try mediation before starting court proceedings. Nothing here stops either of us seeking an urgent order from a court where that is genuinely needed.
16. Law
These terms are governed by New Zealand law, and the New Zealand courts have exclusive jurisdiction.
